Terms & Conditions

1. Definitions

• "Client" means any organization subscribing to KALS360.
• "User" means employees, candidates, contractors, consultants, or authorized representatives.
• "Services" include HRMS features such as payroll, attendance, compliance, onboarding, and reporting.

2. Eligibility & Access

Users must be 18 years or older. Access is limited to authorized users approved by the Client. Clients are responsible for maintaining credential confidentiality.

3. Scope of Services

KALS360 provides a technology platform for HR operations. KALS360 does not provide legal, tax, or financial advice.

4. User Obligations

Users agree to:

• Provide accurate and complete information
• Comply with all applicable laws and regulations
• Not misuse, copy, reverse engineer, or disrupt the platform
• Maintain the confidentiality of login credentials
• Use the Services only for lawful and authorized purposes

5. Data Protection & Privacy

Use of KALS360 is subject to our Privacy Policy. Clients act as Data Controllers and KALS360 as Data Processor under applicable data protection laws, including the Digital Personal Data Protection Act, 2023 (DPDP Act).

Both parties commit to:

• Processing data in accordance with applicable data protection laws
• Implementing appropriate security measures
• Respecting data subject rights
• Reporting data breaches as required by law

6. Intellectual Property

All intellectual property rights in KALS360, including but not limited to software, designs, trademarks, logos, documentation, and content, belong exclusively to KALS360. Users receive a limited, non-exclusive, non-transferable, and revocable right to use the Services in accordance with these Terms.

Users shall not:

• Copy, modify, or create derivative works of the platform
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices
• Use KALS360 branding without prior written consent

7. Fees & Payments

Commercial terms, including subscription fees, payment schedules, and billing arrangements, shall be governed by separate subscription or service agreements between KALS360 and the Client.

Non-payment or delayed payment may result in:

• Suspension of access to Services
• Termination of subscription
• Legal action for recovery of dues
• Interest charges as per applicable law

8. Third-Party Services

KALS360 may integrate with or provide access to third-party platforms, services, or applications. KALS360 is not responsible for:

• The availability, accuracy, or reliability of third-party services
• Any actions, content, or policies of third parties
• Data shared with or processed by third-party services
• Any losses arising from the use of third-party services

Users' use of third-party services is subject to the respective third party's terms and conditions.

9. Limitation of Liability

To the maximum extent permitted by law:

• KALS360 shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes but is not limited to loss of profits, data, business opportunities, or goodwill
• Total aggregate liability shall not exceed the fees paid by the Client in the previous 12 months
• KALS360 does not guarantee uninterrupted or error-free service

This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise) and whether KALS360 has been advised of the possibility of such damages.

10. Indemnity

Clients and Users agree to indemnify, defend, and hold harmless KALS360, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Inaccurate or incomplete data provided by the Client or Users
• Violation of applicable laws or regulations
• Misuse of the platform or Services
• Breach of these Terms
• Infringement of third-party rights

11. Suspension & Termination

KALS360 reserves the right to suspend or terminate access to the Services immediately and without prior notice in the event of:

• Material breach of these Terms
• Non-payment of fees
• Legal or regulatory non-compliance
• Misuse, fraud, or security threats
• Requests from law enforcement or government authorities

Upon termination:

• All access rights shall cease immediately
• Outstanding fees become immediately due and payable
• Data may be retained as per the Privacy Policy and legal requirements
• Clients may request data export subject to applicable terms

12. Force Majeure

KALS360 shall not be liable for any failure or delay in performance due to events beyond its reasonable control, including but not limited to:

• Acts of God, natural disasters, epidemics, or pandemics
• War, terrorism, civil unrest, or government actions
• Labor strikes or disputes
• Internet or telecommunications failures
• Cyber attacks or security breaches affecting infrastructure
• Supply chain disruptions

In such events, KALS360's obligations shall be suspended for the duration of the force majeure event.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes, claims, or legal proceedings arising out of or relating to these Terms or the use of KALS360 shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

The parties irrevocably submit to the jurisdiction of such courts and waive any objections to venue or inconvenience of such forum.

14. Amendments

KALS360 reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Changes will be effective immediately upon posting on the platform or notification to Clients.

Continued use of KALS360 following any changes constitutes acceptance of the modified Terms. Users are responsible for reviewing these Terms periodically.

Material changes may be communicated via email or in-platform notifications.

15. Miscellaneous

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.

Entire Agreement

These Terms, together with the Privacy Policy and any separate service agreements, constitute the entire agreement between the parties.

Assignment

Users may not assign or transfer these Terms without KALS360's prior written consent. KALS360 may assign these Terms without restriction.
